These Terms of Service ("Terms") govern your access to and use of the artificial intelligence software platform and related services (collectively, the "Services") provided by Adaptional, Inc. ("Company," "we," "our," or "us"). By accessing or using our Services, you ("Customer," "you," or "your") agree to be bound by these Terms.
1. Eligibility and Authority
You represent and warrant that: (a) you are at least 18 years old and have the legal capacity to enter into these Terms; (b) you are authorized to bind the entity on whose behalf you are accessing the Services; and (c) your use of the Services complies with all applicable laws and regulations, including insurance industry regulations.
2. Description of Services
Our Services provide AI-powered software solutions designed specifically for insurance companies, including but not limited to automated underwriting assistance, claims processing optimization, risk assessment tools, and regulatory compliance support. The Services are provided on a software-as-a-service (SaaS) basis.
3. Account Registration and Security
3.1 Account Creation. You must create an account to access the Services. You agree to provide accurate, current, and complete information during registration and to update such information as needed.
3.2 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
3.3 Administrator Rights. You may designate authorized users within your organization to access and use the Services. You remain responsible for all activities of your authorized users.
4. Acceptable Use
4.1 Permitted Use. You may use the Services solely for your internal business operations in the insurance industry and in compliance with these Terms and all applicable laws.
4.2 Prohibited Activities. You may not:
- Use the Services for any unlawful purpose or in violation of any regulations applicable to insurance companies
- Attempt to gain unauthorized access to the Services, other accounts, or our systems
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services
- Use the Services to process data for third parties without our written consent
- Interfere with or disrupt the Services or servers/networks connected to the Services
- Use the Services in any manner that could damage our reputation or business relationships
5. Data and Privacy
5.1 Customer Data. You retain ownership of all data, information, and content that you input into the Services ("Customer Data"). You grant us a limited license to use Customer Data solely to provide the Services to you.
5.2 Data Security. We implement industry-standard security measures to protect Customer Data, including encryption, access controls, and regular security audits. However, no system is completely secure, and we cannot guarantee absolute security.
5.3 Data Processing. We may process Customer Data to improve our AI models and Services, but only in accordance with our Privacy Policy and applicable data protection laws.
5.4 Compliance. Both parties acknowledge the importance of compliance with insurance data protection regulations, including but not limited to state insurance codes, HIPAA (where applicable), and other relevant privacy laws.
6. Intellectual Property
6.1 Our IP. The Services, including all software, algorithms, models, interfaces, and documentation, are our proprietary property or that of our licensors. We retain all rights not expressly granted to you.
6.2 Customer IP. You retain ownership of your Customer Data and any intellectual property you owned prior to using the Services.
6.3 Feedback. Any feedback, suggestions, or improvements you provide regarding the Services may be used by us without compensation or attribution.
7. Payment Terms
7.1 Fees. You agree to pay all fees associated with your use of the Services as set forth in your subscription agreement or order form.
7.2 Payment Terms. Unless otherwise specified, fees are due within thirty (30) days of invoice date. Late payments may incur interest charges.
7.3 Taxes. You are responsible for all applicable taxes, except for taxes based on our income.
8. Service Level and Support
8.1 Availability. We strive to maintain 99.5% uptime for the Services, excluding scheduled maintenance and circumstances beyond our reasonable control.
8.2 Support. We provide technical support during business hours. Priority support may be available under separate agreement.
9. Limitation of Liability
9.1 DISCLAIMER. THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 LIMITATION. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9.3 EXCLUSIONS. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR BUSINESS INTERRUPTION.
10. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any third-party rights.
11. Termination
11.1 Termination by Either Party. Either party may terminate these Terms with thirty (30) days written notice.
11.2 Termination for Cause. We may immediately terminate or suspend your access for material breach of these Terms.
11.3 Effect of Termination. Upon termination, your right to use the Services ceases immediately. We will provide you with access to export your Customer Data for sixty (60) days following termination.
12. Compliance and Regulatory Considerations
You acknowledge that the insurance industry is heavily regulated and agree to use the Services in compliance with all applicable federal and state insurance laws, including but not limited to licensing requirements, solvency regulations, and consumer protection laws.
13. Modifications
We may modify these Terms at any time by posting updated Terms on our website. Material changes will be effective thirty (30) days after notice to you. Your continued use constitutes acceptance of the modified Terms.
14. General Provisions
14.1 Governing Law. These Terms are governed by the laws of California, without regard to conflict of law principles.
14.2 Dispute Resolution. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association.
14.3 Entire Agreement. These Terms constitute the entire agreement between the parties regarding the Services.
14.4 Severability. If any provision is found unenforceable, the remainder of these Terms will remain in effect.
14.5 Assignment. You may not assign these Terms without our written consent. We may assign these Terms without restriction.
